General terms & conditions

Welcome to the Terms and Conditions of Ellen Tuenter. These terms apply to all coaching services, sessions and communications provided by Ellen Tuenter. By engaging with my services, you acknowledge and agree to the following terms, which are designed to ensure a clear, respectful and professional coaching relationship.

1. Applicability

These general terms and conditions apply to all legal relationships between Ellen Tuenter Consultancy and the client or their legal successor. This includes all offers, agreements, supplementary and follow-up arrangements, and all written or verbal communications.
If any provision is found to be invalid or unenforceable, the remaining provisions will remain fully effective. Any invalid clause will be replaced by one that reflects the intent of the original as closely as possible.

2. Services

An agreement is established upon mutual confirmation between the client and Ellen Tuenter Consultancy. All services are provided exclusively for the client and exclude the application of articles 7:404 and 7:407(2) of the Dutch Civil Code.
Ellen Tuenter Consultancy provides strategic consulting, guidance and reflection in the field of leadership development, career transition and governance, particularly in an international context.

The client agrees to provide accurate and complete information required for the preparation and execution of services. Ellen Tuenter Consultancy performs the services with care, professionalism, and in accordance with good practice. The services are delivered under a best-efforts obligation.

The processing of personal data in connection with this agreement is subject to the Privacy Statement of Ellen Tuenter Consultancy, available at www.ellentuenter.com.

3. Information and access

The client agrees to provide all necessary documents, data and access to relevant personnel in a timely manner to ensure the proper execution of the services.

4. Third parties

After consulting with the client, Ellen Tuenter Consultancy may engage third parties for specific tasks. These third parties operate under the responsibility of Ellen Tuenter Consultancy, unless otherwise agreed. Ellen Tuenter Consultancy is not liable for damages caused by third-party services, unless resulting from intent or gross negligence.

5. Fees and expenses

Unless agreed otherwise, services are billed on an hourly basis, excluding VAT. Travel time and additional costs (such as accommodation) are billed separately. Services may be invoiced in phases, and advance payments may be requested.
Cancellations up to 48 hours before a scheduled appointment are free of charge. Cancellations within 48 hours will incur a 50% fee. Cancellations within 24 hours will be charged in full.

6. Payment terms

Invoices must be paid within 14 days of the invoice date. If payment is late, statutory interest and collection costs apply. Ellen Tuenter Consultancy reserves the right to suspend services if payment obligations are not met.

Any concerns or complaints must be submitted in writing within 14 days of discovery, with clear justification. Complaints submitted after this period will not be considered.

7. Changes and additional work

Changes to the agreed scope, method or timeline may impact delivery or cost. Any changes will be discussed with the client. Work resulting from changes will be treated as additional services and invoiced separately.

Ellen Tuenter Consultancy reserves the right to decline changes that would compromise the quality or coherence of the original agreement. Such refusal does not affect the client’s obligation to pay for services already rendered.

8. Duration and termination

The duration of services depends on various factors, including the client’s cooperation. The agreement concludes when the final invoice is paid.

Both parties may terminate the agreement at any time. This does not affect payment obligations for services rendered or agreed.

9. Intellectual property

All materials, models, and methods used during the engagement remain the intellectual property of Ellen Tuenter Consultancy, unless agreed otherwise in writing. Use or distribution by the client requires prior written consent.

10. Liability

Ellen Tuenter Consultancy is not liable for indirect or consequential damages. Liability for direct damages is limited to the total fee for the relevant phase of the service or the amount covered by professional liability insurance, whichever is lower.

The client is responsible for maintaining adequate insurance for activities related to the service and must take reasonable steps to limit any potential damage. Ellen Tuenter Consultancy is not liable for any damage that remains the client’s responsibility due to a lack of adequate insurance coverage.

11. Confidentiality

Both parties agree to treat all information shared during the engagement as strictly confidential, unless required by law or otherwise agreed.

This includes personal, organisational and strategic information shared during the collaboration. This obligation remains in effect even after the agreement has ended.

12. Applicable law

These terms are governed exclusively by Dutch law. Any disputes arising from or related to these terms will be submitted exclusively to the competent court in the Netherlands.
